if I upgrade to 1password 5 will the 1password 3 on my phone and cloud still work?
I just upgraded to Yosemite and am having to switched to 1P5. If download and use 1password 5 on my mac, will the 1password 3 on my phone (synched with cloud) still work? I was told that 1P3 does not work with Yosemite, but so far it is opening fine.

You don't have to stop using 1Password 3 on Yosemite, if you don't want to. So you do not have to upgrade to version 5. But 1Password 3 isn't being developed any longer, so if you find problems, you'll have to work around them.
When you say 1Password 3 on your phone is synced with "cloud," can you be specific? I assume you mean Dropbox, but it would help if we know for sure. And does 1Password 3 on the Mac you just upgraded to Yosemite also use Dropbox?

As it was opening for the first time, Yosemite said it had disabled my 1password because it was an incompatible version, so that's why I thought I had to upgrade.
And yes, maybe I do mean dropbox, it's been so long since I set up the iphone with 1password, I forgot how I synched my info. Forgive me for not knowing how this works.So moving forward, if I want to buy the upgrade to 1P5 from Agilebits instead of the App Store, is there a way to 1) save all my passwords, etc... that I have in 1P3, then export them to the new 1P5 and 2) have them synched via dropbox onto my phone?

The answers to all of those question are Yes, if you upgrade to version 5 from AgileBits, you certainly will be able to save all your passwords in version 3. In fact, I think 1Password 5 will automatically find them on your Mac. They will also Sync via Dropbox to your iPhone.
One thing I'm uncertain about is whether that will work to version 3 on your iPhone. Please wait for a more authoritative answer. But, for your information in the meantime, version 5 for iOS is free to download and use as long as you like in its basic form. If you find you want or need the more advanced Pro features, they will require an in-app purchase to activate. You can read about the Pro features here, (The blue underlined words are a link.)

I'm sorry to say that 1Password 3 for iOS no longer has access to Dropbox sync. If you're able to upgrade to 1Password 5 for iOS (which is free, as hawkmoth mentioned), then you'll be able to keep them synced with Dropbox.
Hawkmoth was also correct that 1Password 5 for Mac should be able to automatically detect your existing vault data from version 3.
As far as upgrading to 1Password 5 for Mac, which version were you using before you upgraded to Yosemite: 1Password 3, or 4?

Thanks Hawkmoth and Vee, that was helpful. Since I've been running 1P3 on the mac (and especially since updates have been failing each time I try), I'm going to pay for the 1P5 upgrade. I'm assuming I can then get 1P5 on my phone and link to the mac data via dropbox. All sounds doable, correct? Thanks again! ~DH

Yes, you can upgrade to 1Password 5 on your phone at any time (as long as it's running iOS 8), and once you have 1Password 5 on your Mac, you can sync your data between them with Dropbox.
